Definitions:
“The Client” means the company, person or organization paying for the work or in the case of free non-profit websites the person commissioning the work.
“Innta” is an abbreviated version of Innta Business Solutions Ltd, which owns InntaOnlineSolutions.com.
The following Terms and Conditions apply to all new websites purchased
- While the Client does not have to have all their content and images ready when they place the order, Innta cannot be held responsible for delays caused as a result of not having received required information from the Client. ‘Required Information’ includes feedback on work already carried out by Innta.
- Innta refuses to create sites of an adult nature or of questionable morality. Determining whether a site is “adult in nature” or of “questionable morality” (e.g. promoting prejudice) is at the discretion of Innta. If Innta identify the Client site to fall under either of these categories during the requirements stage the Client will receive a full refund. If however, this fact is hidden from Innta during development, Innta will charge the Client $45 per hour for all work completed up to that point, up to the maximum cost of the package. Additionally, Innta will not hand over the work Innta have already completed. If the Client is in any doubt as to whether Innta would consider their site to fall under either of these categories, please contact Innta prior to ordering.
- It is the responsibility of the Client to ensure that they have purchased a domain name and secured suitable hosting services for their website.
- If after 180 days (from purchase) the Client has not signed off the site, Innta will send an email to the Client giving them 14 days to provide any missing content, images, links, feedback, domain name and hosting account details so that the site maybe completed. After these 14 days have elapsed Innta will spend no longer than the quoted delivery timescale for the package working on the website. Such work includes migrating the website to the Clients web hosting account. If the Client is unable to provide all of the required information within this 14 day window, the site will be removed from Innta development servers and a refund will not be given.
- As part of this package the Client may only select plugins from Inntas Recommended list. If the Client would like the installation and configuration of other plugins this can be done for an additional fee.
- Note that not all plugins work on all themes, a plugin selected by a Client may therefore not work on the Clients chosen theme. If this occurs Innta will install an alternative plugin with similar functionality as the original plugin.
- For Clients purchasing the business package, Innta will create a favicon. A favicon is a small image (16px x 16px) that is displayed to the left of the Clients website address in a web browser. Though it can be seen in other places too depending upon the browser being used. There are two options for this (a) the Client provides Innta with a logo or other non-copyright image from which Innta can create the favicon (b) Innta creates a favicon using initials from the website name using the color scheme of the website. The Client may decide on letters and colours used.
- These packages do not include entering content into any posts. If the Client does not need to use all of the ‘pages’ within the package, then Innta can populate a post instead of a page. If the Client has previously been blogging and has lots of posts to migrate from elsewhere, a fixed cost quote will be given for the import.
- Delivery timescales quoted start from the point Innta has all of the Clients requirements, content, images etc.
- Innta is not responsible for any lost emails. So that the Client can be sure Innta have their received all emails, Innta seeks to respond to all Client emails in a timely manner. If the Client does not receive a response from Innta within 2 working days, please contact Innta again as it maybe that the Client email did not get to Innta.
- If there is already a website at the domain specified for the new website install, it is the Clients responsibility to make a back up of the old site should they wish to keep the files relating to it.
- The liability of Innta is capped at the purchase price of the package.
- Customizations made to the theme or plugins maybe lost if a theme or plugin is updated after the website is installed at the Clients domain. Updates from the theme or plugin authors may overwrite the code changes made by Innta. Innta accepts no liability for customization losses incurred as a result of an update, upgrade or other actions on the part of the Client. It is advised that Clients take a backup of their site prior to any upgrade. Innta can carry out theme and plugin upgrades for an additional fee to ensure no customizations are lost.
- Once the site is installed at the Clients domain on the Clients hosting account, Innta is no longer responsible for the site. New website packages pertain only the creation of the site. Subsequent maintenance or support though not included, is available at extra cost.
- Innta is not responsible for any customizations or changes carried out by the Client after the site is migrated to the Clients hosting account.
- Though Innta may keep Clients development sites active for a short period of time after the site has been migrated to the Clients domain, it cannot be relied upon as a back up or test environment for future development work.
- Innta reserves the right to refuse service.
- New website packages do not include the creation of PayPal buttons. The Client will need to sign up for an account with PayPal, and go to the Merchant Services area to create the buttons. Once buttons have been created, PayPal will provide code. The Client is to send this to Innta, who will insert it into the appropriate place on the new website.
- New website packages do not include setting up an autoresponder, only adding the autoresponder form to the website. The Client will need to sign up for an autoresponder such as Constant Contact, Aweber or MailChimp and create a campaign. The autoresponder will provide code that the Client is to pass on to Innta. Innta will insert this code into the sidebar, other widget area or the body of a page. As part of the package Innta is unable to add the autoresponder code to the header or footer of the page, such work is available at extra cost. Innta will not edit the autoresponder code as part of the package, but will provide dimensions and color codes to aid the Client in creating a form that fits and works well with the Client’s new website.
- Innta does not provide images. Innta will crop and resize images provided by the Client so that they work with the new website. These packages do not include any further image editing beyond cropping and resizing. Innta is not a specialist in graphic design, though some graphic design work can be done if required for an additional fee.
- Innta will not populate non-essential plugin fields with data. This includes but is not limited to inserting keywords into the meta fields of an SEO plugin or adding events to a Calendar plugin. If however, data needs to be entered in order for the plugin to function properly and not hinder the user experience of the site (e.g. adding a Twitter ID to a social media plugin) then this information will be populated as it is classed as a configuration.
- Innta does not offer copywriting services. Innta will insert text provided by the Client into the specified web pages and format it so it is consistent with the rest of the website, but are unable to write any of the content for the Client.
- By purchase the package the Client is accepting these terms and conditions.
- All prices quoted are in Canadian Dollars (CAD)
- Innta is not responsible for damage cause by hackers, viruses or other malicious attacks on the website once it has been handed over to the Client.
- While Innta can work with websites hosted at WordPress.com, the WordPress.com platform places restrictions on development capabilities. As a result Innta may be unable to carry out all of the items listed in the package. However, the Client still pays the full listed price. Discounts are not available for WordPress.com websites.
The following Terms and Conditions apply to Free Non-Profit Websites
- Free websites for Non-Profits are built as time permits. Usual timeframes for delivery do not apply.
- It is at the discretion of Innta to decided whether to create a website for a Non-Profit.
- The Non-Profit organization is to pay for the domain name and the hosting of the website. (Innta can offer advice as to how to do this.)
- The website will be built using WordPress.
- Hosting of the website cannot be at WordPress.com (The ability to develop a site at WordPress.com is severely limited.)
- Once the website is built, Innta will hand it over to the Non-Profit.
- Innta will not accept any liability for damage caused by the website.
- Innta will not maintain the website once it has been handed over to the Non-Profit.
- The Non-Profit may choose either the Starter or Business Package from http://inntaonlinesolutions.com/wordpress-theme-customization-services/
- Upgrades to the package may be available ‘free’ at the discretion of Innta.
- Non-Profits from all over the world are accepted in to the program.
- The contact person from the Non-Profit must be able to write effectively in English.
- A link back to http://inntaonlinesolutions.com/ will be placed in the footer of the website. The Non-Profit is not permitted to remove or amend it.
- Innta may feature the Non-Profit’s website on it’s portfolio page or elsewhere as it deems necessary.
- Innta will crop and resize images but will do no other image editing.
- Innta does not write content. The non-profit is to provide the content, Innta will insert and format the text.
- All other Terms and Conditions from Terms and Conditions of all new websites purchased apply.
The following Terms and Conditions apply to $49 websites purchased
- Innta enables the Client to use each individual product on a single website only. The Client needs to purchase the same template again if the Client intends to use the same design in connection with another or other website.
- The Client is authorized to make necessary modification(s) to our templates to fit the Client’s purposes.
- All Images used in the templates are not included in the template package.
- For Clients that avail the ‘Annual Support and Maintenance’:
- The Client is legally responsible for all information, data, text, software, music, sound, photographs, graphics, video, messages or other materials (“Content”) uploaded, posted or stored through your use of the Services. You grant Innta a worldwide, royalty-free, non-exclusive license to host and use the Content in order to provide you with the Services. The Client agree not use the Services for any illegal purpose or in violation of any applicable local, state, federal or international law. The Client is encouraged to archive your Content regularly and frequently. The Client is responsible for any Content that may be lost or unrecoverable through your use of the Services. The Client must provide all required and appropriate warnings, information and disclosure. The Client agree that the Client will not use the Services to share, store, or in any way distribute financial data that is not in accordance with the law. Any users suspected of having information which involves fraud, embezzlement, money laundering, insider trading, support for terrorism, or any other activity proscribed by law may have their accounts terminated, their financial data erased, and they also may be reported to law enforcement officials in the appropriate jurisdictions. Innta is not responsible for the Content or data you submit on the website.
- You agree not to use the Services to upload, post, distribute, link to, publish, reproduce, engage in or transmit any of the following, including but not limited to:
a. Illegal, fraudulent, libelous, defamatory, obscene, pornographic, profane, threatening, abusive, hateful, harassing , offensive, inappropriate or objectionable information or communications of any kind, including without limitation conduct that would encourage or constitute an attack or “flaming” others, or criminal or civil liability under any local, state, federal or foreign law;
b. Content or data that would impersonate someone else or falsely represent your identity or qualifications, or that constitutes a breach of any individual’s privacy, including posting images about children or any third party without their consent (or a parent’s consent in the case of a minor);
c. Except as otherwise permitted by Innta in writing, advertisements, solicitations, investment opportunities, chain letters, pyramid schemes, other unsolicited commercial communication or engage in spamming or flooding;
d. Virus, trojan horse, worm or other disruptive or harmful software or data; and
e. Any information, software or Content which is not legally yours and may be protected by copyright or other proprietary right, or derivative works, without permission from the copyright owner or intellectual property rights owner. - Innta may monitor your content from time to time. Innta may, but has no obligation to, monitor content on the Services. Innta may disclose any information necessary or appropriate to satisfy our legal obligations, protect Innta or its customers, or operate the Services properly. Innta, in its sole discretion, may refuse to post, remove, or refuse to remove, any Content, in whole or in part, alleged to be unacceptable, undesirable, inappropriate, or in violation of this Agreement.
- The Client is responsible for securely managing the Client’s password(s) for access to the website. If the Client become aware of any unauthorized access to the Client’s website account, theft or loss of your password, you agree to contact Innta as soon as possible. The Services may periodically be updated with tools, utilities, improvements, third party applications, or general updates to improve and enhance the features and performance of the Services. The Client agrees to receive these updates automatically as part of the Services.
- All other Terms and Conditions from Terms and Conditions of all new websites purchased apply.
The following Terms and Conditions apply to SEO Services
- Innta do not guarantee any specified increase in the number of new prospects or customers. Innta do not guarantee any specific increase in web traffic or sales, or any precise placement or ranking with specific search engines.
- Innta is not liable for content found on Client sites nor for any third party matters related to said content. Innta is not liable for any loss of engine ranking(s) that arise from the employment of features or techniques that have been added to the client site(s) by a third party and without our approval or knowledge, be they pre-existing or added after the fact, so long as this service agreement is in effect. Innts is not accountable for any third party SEO services employed on the Client site before or during this service agreement.
- The Client shall not employ the services of any Submission Company during the same period of Innta providing their search engine optimization services.
- The Client agrees that there are no duplicate sites, duplicate content or pages, redirects or doorway pages to their website created while using Innta SEO services.
- The Client agrees that the Client has not requested or exchanged links with any link farms or undertaken any spamming techniques which may harm the web sites search engine ranking with Google.
- The Client agrees that their website is not hosted on free web space using domain forwarding (either framed or otherwise) while using Innta SEO Services.
- The Client gives Innta the authority to submit the Web Site pages being promoted to Search Engines and directories.
- The Client guarantees Innta at all times that the material included in the Web Site:
- Is not in breach of the Intellectual Property rights of any third party.
- Is not obscene within the definition of the Obscene Publications Act 1959 or any other relevant provision or statute.
- Is not in breach of any code or provision of statute or common law or otherwise in forcefrom time to time in relation to Advertising of Goods or Services.Contains no element of corporative advertising which is in breach of the Control of Misleading Advertisements (Amendment) Regulations 2000.
- Is not in breach of the Defamation Act 1996 or any other relevant provision or statute.Does not contain any misleading price comparison in breach of Consumer Protection Act.
- Innta must have the ability to optimise the structure and content of your web pages. Such changes generally have a minimal visual impact. Innta will work directly with you in order to Maintain the original look and feel of your website.
- The Client must provide Innta with log-in information (FTP username and password) to allow Innta to gain access to the Client’s website. Innta will maintain confidentiality of log-in information. The Client must inform their webmaster or anyone else who has access to the Web site that Innta are performing Search engine optimisation services on the site.
- Innta may terminate this agreement at any time if the Client’s website contains any material which is illegal, pornographic, and/or racially abusive or is likely to cause offence or damage to Innta reputation.
- The search engines targeted will be those search engines that Innta considers to be the most important with regards to popularity, language, content, location, coverage or any other criteria that Innta considers suitable.
- If Innta create any user accounts for the benefit of the work being carried then the security email address or reset password email address where posibile will be the Clients email address giving the Client full control. All user accounts opened for the Client will be documented and provided to the Client in an email.
- The Client will not share any information relating to costs or process that Innta follow as this would break any contract that is in place with Innta. Tactics and process that Innta follow are sometime unique and these give Innta an advantage over competitors and thus the information is confidential and cannot be shared with a third party.
